IPC Alternative REIT Launches Private Offering With New Share Classes

IPC Alternative Real Estate Income Trust Inc. – a non-traded real estate investment trust sponsored by Inland – announced that it is offering new share classes with a more favorable fee structure. The fund has begun a private offering of its Class I, X-1, and X-2 shares, and is seeking to attract significant capital by linking access to these shares to the amount of money raised by distribution partners.
The fund’s new share classes are available exclusively to accredited investors through a select group of distribution participants. Unlike the firm’s public offerings, these private-placement shares are sold without upfront commissions or dealer-manager fees.
A unique aspect of this private offering is its incentive-based exchange program. Financial intermediaries who are initially approved to sell only Class I shares can become eligible to sell the more exclusive Class X-1 and Class X-2 shares if they reach a specific fundraising target.
The fund is also providing a path for investors to exchange their shares for a more lucrative class. All Class I shares sold in the private offering will automatically be exchanged for Class X-1 or Class X-2 shares once the intermediary that sold them meets its fundraising goal. Similarly, privately offered Class X-1 shares will be converted into Class X-2 shares under the same conditions. These exchanges are based on the net asset value per share at the time of the exchange, ensuring a fair conversion for investors.
In a move to attract large investors, the fund has introduced a tiered fee structure for its new share classes, which are designed to be more cost-effective. While publicly available Class T, S, D, and I shares are subject to the highest management fee of 1.25% annually, the new Class X-1 and X-2 shares come with reduced fees of 1% and 0.75%, respectively. An even lower rate of 0.5% applies to Class A units. This significant difference in management fees and performance allocations is expected to result in a higher NAV per share for the Class X, providing a strong incentive for investors in the private offering.
The company reported a total NAV of approximately $139.82 million as of July 31, 2025, a 1.1% increase from its $138.25 total NAV the prior month. As of Aug. 15, the REIT had issued and sold primary offering proceeds totaling $10.3 million and shares pursuant to its distribution reinvestment plan for a total value of $0.07 million.
As previously reported by AltsWire, Inland launched the REIT in October 2023, seeking to raise up to $1.25 billion in equity via its initial offering.
