FINRA Suspends Ex-Broker Who Secretly Paid Clients $139K to Settle Complaints

The Financial Industry Regulatory Authority suspended former broker Gilbert Russell Conrad for two months and fined him $5,000 for paying two clients a combined $139,000 over nearly a decade to settle complaints about their investment performance without the knowledge of the brokerage firms that employed him.
Both customers had invested substantial retirement funds in real estate investment trusts and other alternative investments that Conrad recommended, according to a letter of acceptance, waiver, and consent, or AWC, that FINRA accepted Oct. 22. Conrad consented to the sanctions and to FINRA’s findings without admitting or denying them.
FINRA found that Conrad paid the first customer a total of $79,100 between 2013 and 2018 and paid the second customer a total of $60,000 across two stretches: January through December 2017 and May through August 2022.
Conrad did not tell his firms about the complaints or the payments, according to the AWC. Each firm he worked for during the period had written supervisory procedures barring representatives from settling customer complaints without the firm’s knowledge. In 2017, 2018, and 2019, Conrad also falsely attested to Independent Financial Group LLC that he had not made any payments to customers in connection with securities transactions, FINRA found.
The payments surfaced only after the two customers brought arbitration claims against Conrad in 2023.
FINRA said a registered representative who settles a customer complaint without the firm’s knowledge violates FINRA Rule 2010, which requires members and associated persons to observe high standards of commercial honor and just and equitable principles of trade, because the practice keeps the firm from supervising its employees’ conduct and handling customer complaints.
Conrad first registered with FINRA in May 1996. During the period covered by the AWC, he was registered as a general securities representative with J.P. Turner & Co. from January 2012 to December 2015, Summit Brokerage Services Inc. from September 2015 to October 2016, Independent Financial Group from October 2016 to February 2020, Arkadios Capital from February 2020 to March 2022, and Realta Equities Inc. from March 2022 to March 2025. He resigned from Realta Equities on March 10, 2025.
Conrad is not currently registered with FINRA or associated with a member firm but remains subject to the regulator’s jurisdiction. The suspension bars him from associating with any FINRA member in any capacity and will take effect on a date set by FINRA, according to the AWC. The fine is due when he reassociates with a member firm or before he seeks relief from any statutory disqualification, whichever comes first.
