Invesco Nontraded REIT to Fund 5% Bonus Shares for New Investors as of Oct. 1

Invesco Real Estate Income Trust Inc. will offer new investors bonus shares worth up to 5% of their subscription amount under an investor incentive program that opens Oct. 1.

The nontraded real estate investment trust’s program applies to investors subscribing for Class T, Class S, Class D, or Class I shares whose subscriptions are accepted between Oct. 1, 2026, and March 1, 2027. Investors accepted between Oct. 1 and Dec. 1 will receive bonus shares equal to 5% of their subscription amount, excluding upfront commissions. Investors accepted between Jan. 1 and March 1, 2027, will receive a smaller 3% bonus.

Investors whose subscriptions were accepted Sept. 1, a month before the incentive period formally begins, are also eligible for the full 5% bonus.

Invesco’s adviser, not the REIT or its existing stockholders, will fund the bonus shares, contributing the purchase price from its own assets at no additional cost to the company. Bonus shares are issued in the same class the investor purchased and carry the same rights as other shares, including eligibility for repurchase under the company’s share repurchase plan.

A hypothetical $25,000 subscription in Class T shares priced at $25.00 per share, or 1,000 shares, illustrates the mechanics: an investor accepted between October and December would receive 50 bonus shares, for 1,050 total, while the same subscription accepted between January and March 2027 would yield 30 bonus shares, for 1,030 total.

Class T, Class S, and Class D bonus shares will bear the stockholder servicing fees applicable to those classes but will not be subject to upfront selling commissions or dealer manager fees. Eligible investors were advised to consult their own tax advisers on the federal, state, local, and non-U.S. tax treatment of the bonus shares and any resulting distributions.

Class E shares, which are generally limited to the REIT’s executive officers and directors, employees of the sponsor, the adviser, and their affiliates, and other Invesco accounts, are excluded from the program. Investors subscribing for Class E shares during the incentive period will not be eligible to participate.

The adviser reserved the right to amend, extend, or terminate the program at any time. Unless extended, it is set to expire after March 1, 2027, and investors subscribing after that date will not receive bonus shares.

Invesco Real Estate Income Trust launched its public offering in May 2021 with a target of raising up to $3 billion across the same five share classes: T, S, D, I, and E. The REIT has adjusted its share-class lineup before: in July 2025, it introduced two private-placement classes, S-PR and K-PR, carrying a 1% annual adviser fee on net asset value.
